TERMS of USE

IMPORTANT — PLEASE READ CAREFULLY

 These Terms of Use constitute a legal contract between you and Chouette World LLC. By accessing or using the Chouette platform, you agree to be bound by these Terms in full. If you do not agree, you may not use the platform or any services available through it.

 These Terms contain a Dispute Resolution and Arbitration provision, including a Class Action Waiver, which affects your legal rights. Please read Section 15 carefully. You have the right to opt out of binding arbitration within 30 days of first accepting these Terms.

 

1.  Introduction 

Chouette World LLC ("Chouette," "we," "us," or "our") operates the website at chouette.world, including all associated pages, content, editorial features, e-commerce functionality, and any other services made available through the platform (collectively, the "Platform"). These Terms of Use ("Terms") govern your access to and use of the Platform and any services offered through it ("Services").

Chouette is a design house and editorial platform for families who move through the world. We publish city guides, essays, and practical travel resources, and we are developing a collection of physical products for families in motion. These Terms apply to all of that: the reading, the shopping, the subscribing, and the communicating.

 By using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Notice, which is incorporated into these Terms by reference.

 

2.  Eligibility 

By accessing or using the Platform, you represent and warrant that you are at least 18 years of age, or if you are between 13 and 18 years of age (a "Minor"), that you are using the Platform with the knowledge and consent of a parent or legal guardian who has agreed to these Terms on your behalf.

If you are the parent or legal guardian of a Minor who uses the Platform, you agree to be bound by these Terms on behalf of that Minor and accept full responsibility for their use of the Platform. If you are under 13 years of age, you may not use the Platform at any time or in any manner.

 

3.  The Platform and Our Content

The Platform contains editorial content, city guides, practical guides, product listings, photography, illustrations, design elements, logos, trademarks, and other materials (collectively, the "Materials") that are the proprietary content of Chouette or its licensors. All Materials are protected by applicable copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Platform and to view the Materials for your own personal, non-commercial purposes. No other rights are granted.

You may not: copy, reproduce, distribute, modify, adapt, translate, reverse engineer, create derivative works from, publicly display, publish, or otherwise exploit any Materials without our prior written consent; use any data mining, scraping, robot, spider, or similar automated tool to access or collect data from the Platform; or remove or alter any copyright, trademark, or other proprietary notices contained in the Materials.

If you breach any of these Terms, the licence granted above terminates immediately and automatically, and you must destroy any downloaded or printed copies of the Materials in your possession.

 

4.  Account Registration

You may browse most areas of the Platform without registering an account. Certain features — including purchasing products, accessing subscriber-only content, and saving preferences — may require you to create an account.

When registering, you agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@bychouette.com if you suspect any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information, that violate these Terms, or for any other reason at our sole discretion.

 

5.  Purchases and Payments

When you make a purchase through the Platform, you agree to pay all applicable fees, taxes, and charges associated with your transaction. All transactions are processed in US Dollars. Payment processing is handled by our third-party payment processors, and your payment information is subject to their respective terms and privacy practices.

We reserve the right to modify pricing at any time. We do not provide price protection or refunds in the event of a price reduction after your purchase. We may suspend or terminate your access to the Platform and Services if any payment is declined or if we are unable to process payment using the method you have provided.

Where we make third-party products or services available through the Platform — including affiliate recommendations in our city guides and practical guides — such third parties are solely responsible for their own pricing, availability, and fulfilment. We are not liable for the fees, quality, or delivery of any third-party products or services.

 

6.  Affiliate Links and Editorial Independence 

Some links in our city guides, practical guides, and other editorial content are affiliate links. This means that if you click a link and make a purchase, Chouette may receive a commission from the retailer at no additional cost to you.

Our editorial recommendations are independent. We only recommend products that we have genuinely used and found useful in the context described. Affiliate relationships do not influence our editorial decisions or the content of our guides. We will always identify affiliate content where required to do so by applicable law.

 

7.  Electronic Communications 

By using the Platform and subscribing to our Services, you consent to receiving electronic communications from us, including newsletters, product announcements, transactional emails, and other notices. You agree that any notices, agreements, or disclosures we deliver to you electronically satisfy any legal requirement that such communications be in writing.

You may unsubscribe from marketing communications at any time by clicking the unsubscribe link in any email we send you, or by contacting us at hello@bychouette.com. Unsubscribing from marketing emails does not affect our ability to send you transactional messages related to your account or any active orders.

 

8.  Third-Party Content and Platforms

The Platform may include content provided by third-party licensors and service providers, and may contain links to third-party websites, platforms, and services, including social media platforms, affiliate retailers, and other external resources. These third-party sites and services are not under our control and are governed by their own terms and privacy policies.

We provide links to third-party platforms as a convenience to our readers. We do not endorse, verify, or take responsibility for any third-party content, products, services, or practices. Your access to and use of any third-party platform is entirely at your own risk. We will not be liable, directly or indirectly, for any loss or damage arising from your use of or reliance on any third-party content or platform.

Where Chouette earns affiliate commissions from purchases made through links to third-party platforms, this is disclosed in accordance with Section 6 above and applicable law.

 

9.  User Submissions 

If you submit content to the Platform — including comments, reviews, photographs, suggestions, or any other material (each a "Submission") — you are solely responsible for that content and warrant that you have all necessary rights to submit it and that it does not infringe the intellectual property or other rights of any third party.

By making a Submission, you grant Chouette a non-exclusive, perpetual, irrevocable, royalty-free, worldwide licence (including the right to sublicense through multiple tiers) to use, reproduce, adapt, modify, publish, translate, distribute, publicly perform, and publicly display your Submission in any form or medium, for any purpose connected with the Platform and our Services.

We reserve the right to remove or decline to publish any Submission at our sole discretion, without notice or explanation. Submissions do not reflect the views of Chouette.

Unless stated otherwise, Submissions are non-confidential and non-proprietary. We may use any ideas, feedback, or suggestions you provide without compensation or attribution to you, except as prohibited by applicable law.

 

10.  Prohibited Conduct 

When using the Platform, you agree not to:

–   Use the Platform in any manner that violates applicable law or regulation

–   Post, upload, or transmit any content that is defamatory, abusive, harassing, threatening, obscene, or otherwise offensive

–   Infringe or violate the intellectual property, privacy, or other rights of any third party

–   Post content that exploits or harms minors in any way

–   Submit false, misleading, or deceptive content

–   Use automated tools including robots, spiders, or scrapers to access, collect, or copy data from the Platform

–   Distribute unsolicited advertising, spam, chain letters, or other unauthorised commercial communications

–   Attempt to gain unauthorised access to any part of the Platform or its related systems

–   Take any action that imposes a disproportionate or unreasonable load on our infrastructure

–   Interfere with or disrupt the integrity or performance of the Platform or its Services

–   Post content unrelated to Chouette's editorial scope, products, or community

This list is illustrative and not exhaustive. We reserve the right to remove any content and to suspend or terminate access to the Platform, without notice, for any conduct we determine in our sole discretion to be inappropriate, harmful, or in violation of these Terms. We may report illegal conduct to the relevant authorities and will cooperate with law enforcement investigations where required.

 

11.  Intellectual Property

Chouette, the Chouette wordmark, logo, and all associated brand elements are trademarks of Chouette World LLC. You may not use any Chouette trademarks, trade names, or brand identifiers without our prior written permission.

All content on the Platform — including editorial text, photography, design, graphics, illustrations, code, and layout — is the proprietary property of Chouette or its licensors. No part of the Platform or its content may be reproduced, distributed, modified, or republished without our express written consent, except as permitted by applicable law.

Intellectual property infringement claims

Chouette respects the intellectual property rights of others and expects users to do the same. If you believe that content on the Platform infringes your copyright or trademark, please send a written notice to hello@bychouette.com including the following:

1.   A physical or electronic signature of a person authorised to act on behalf of the rights holder

2.  Identification of the copyrighted or trademarked work you believe has been infringed

3.  Identification of the material on the Platform that you claim is infringing, with sufficient detail for us to locate it

4.  Your contact details, including name, postal address, and email address

5.  A statement that you have a good faith belief that the use of the material is not authorised by the rights holder, its agent, or the law

6.  A statement, made under penalty of perjury, that the information in your notice is accurate and that you are authorised to act on behalf of the rights holder 

We will respond to valid infringement notices in accordance with applicable law, including the Digital Millennium Copyright Act (DMCA). We reserve the right to terminate the accounts of repeat infringers.

 

DMCA counter-notification

If you believe that material you submitted was removed in error, you may submit a written counter-notification to hello@bychouette.com including: your physical or electronic signature; identification of the removed material and its former location on the Platform; a statement under penalty of perjury that you have a good faith belief the material was removed in error; and your name, address, telephone number, and consent to the jurisdiction of the federal courts in New York County, New York.

 

12.  Feedback 

If you send us comments, suggestions, ideas, or other feedback about the Platform, our Services, or our products (collectively, "Feedback"), that Feedback is non-confidential and non-proprietary. To the extent permitted by applicable law, you assign to Chouette all rights in that Feedback, and we are free to use it for any purpose without compensation or attribution to you. Where such assignment is prohibited by law, you grant us an exclusive, transferable, worldwide, royalty-free licence to use and exploit the Feedback as we see fit. We are under no obligation to act on any Feedback you provide.

 

13.  Disclaimer of Warranties

Your use of the Platform and Services is at your own risk. The Platform and all Materials are provided on an "as is" and "as available" basis, without any representation or warranty of any kind, whether express, implied, or statutory.

Disclaimer

To the maximum extent permitted by applicable law, Chouette expressly disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no warranty that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We make no warranty as to the accuracy, completeness, currency, or reliability of any content or Materials on the Platform, including our editorial content, city guides, practical guides, and product information.

Chouette is not responsible for any loss or damage arising from errors, omissions, inaccuracies, or typographical errors in the Materials, whether provided by Chouette, its licensors, or third parties. All warranties made by Chouette are for the benefit of the user of the Platform only, not any third party.

 

14.  Limitation of Liability 

Limitation of liability

To the maximum extent permitted by applicable law, Chouette and its officers, directors, employees, affiliates, agents, licensors, and service providers (collectively, the "Chouette Parties") will not be liable to you for any indirect, incidental, special, consequential, punitive, or exemplary damages — including loss of revenue, profits, data, goodwill, or business opportunities — arising out of or in connection with these Terms, the Platform, the Services, or any Materials, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the total aggregate liability of the Chouette Parties arising out of or in connection with these Terms, the Platform, or the Services will not exceed the greater of (a) $100 or (b) the total amount paid by you to Chouette in the twelve months preceding the claim.

These limitations apply regardless of the legal theory on which any claim is based, including contract, tort, negligence, strict liability, or otherwise.

 

15.  Dispute Resolution and Arbitration 

Important — Please read this section carefully

This section affects your legal rights. It requires that most disputes between you and Chouette be resolved through binding individual arbitration rather than in court, and it waives your right to participate in a class action. You have the right to opt out within 30 days of first accepting these Terms.

Informal resolution

We would always prefer to resolve any concern quickly and informally. Before initiating arbitration, you agree to contact us at hello@bychouette.com and give us 45 days to attempt to resolve the dispute. Most concerns can be resolved this way. If we are unable to resolve the dispute within that period, either party may proceed to arbitration as described below.

Binding arbitration

Except as set out below, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the Services — whether based in contract, statute, tort, fraud, misrepresentation, or any other legal theory — will be resolved by binding individual arbitration rather than in court. By agreeing to these Terms, you and Chouette each waive the right to a jury trial and the right to participate in a class action or representative proceeding.

Arbitration procedures

Arbitration will be conducted by the American Arbitration Association (AAA) at www.adr.org, or by JAMS at www.jamsadr.com, before a single arbitrator. For disputes under $75,000, the AAA Supplementary Procedures for Consumer-Related Disputes apply. For disputes of $75,000 or more, the AAA Commercial Arbitration Rules apply. The arbitration will take place in New York County, New York, and will be conducted in English. The Federal Arbitration Act governs the arbitrability of all disputes.

Arbitration costs

Chouette will pay all arbitration filing fees and arbitrator fees upon your written request at or before the first evidentiary hearing. You are responsible for your own legal costs and any other fees you incur. If you prevail in arbitration following good-faith pre-arbitration negotiation as described above, you may be entitled to recover reasonable legal fees and costs as determined by the arbitrator.

Class action waiver

The arbitrator may not consolidate claims from more than one person and may not preside over any class, consolidated, or representative action without the express written agreement of both parties. If the class action waiver in this section is found to be unenforceable, the entire arbitration provision will be void and disputes will be resolved in court.

Jury waiver

By agreeing to these Terms, you and Chouette each waive the right to a jury trial for any dispute covered by this section. If you opt out of arbitration, this jury waiver will not apply to you.

Opt-out right

You may opt out of the binding arbitration and class action waiver provisions in this section by sending written notice to hello@bychouette.com within 30 days of the date you first accept these Terms. Your notice must include your name, mailing address, and a clear statement that you do not wish to resolve disputes with Chouette through arbitration. Opting out will not affect your access to or use of the Platform.

Exceptions

Notwithstanding the above, either party may bring an individual claim in small claims court if the claim qualifies. Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent infringement of intellectual property rights or to protect confidential information.

Survival

The provisions of this Section 15 survive the termination of these Terms and your use of the Platform.

 

16.  Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the Chouette Parties from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

–   Your access to or use of the Platform or Services

–   Your Submissions or Feedback

–   Your violation of these Terms

–   Your violation or infringement of the intellectual property, privacy, or other rights of any third party

–   Your violation of any applicable law or regulation 

We reserve the right to assume control of the defence of any matter subject to indemnification by you, at our expense, in which case you agree to cooperate fully with our defence.

 

17.  Termination

If you breach any provision of these Terms, any licence granted to you under these Terms terminates immediately and automatically. We may also, at our sole discretion and without prior notice or liability, temporarily or permanently suspend, restrict, or terminate your access to any or all of the Platform and Services for any reason, including inactivity, suspected fraud, or conduct we determine to be harmful or in violation of these Terms.

Upon termination, your right to access the Platform ceases immediately. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution provisions — will continue to apply.

 

18.  SMS and Mobile Communications

If you opt in to receive SMS or text message communications from Chouette, you consent to receive recurring SMS messages from us, including product updates, editorial alerts, and promotional communications, to the mobile number you provide. Message frequency may vary. Standard message and data rates may apply, depending on your wireless carrier and plan.

Your consent to receive SMS messages is not a condition of any purchase. Participation is voluntary. You may opt out at any time by texting STOP to the number from which you received our messages, or by contacting us at hello@bychouette.com. You will receive a one-time confirmation message upon opting out. For help, text HELP or contact us directly.

We are not liable for failed, delayed, or misdirected SMS messages or for any action taken or not taken in reliance on them. Wireless carriers are not liable for delayed or undelivered messages. If you change your mobile number, you will need to re-enroll using your new number.

SMS opt-in data and consent will not be shared with any third parties.

 

19.  General 

These Terms, together with our Privacy Notice, constitute the entire agreement between you and Chouette with respect to your use of the Platform and Services, and supersede all prior or contemporaneous agreements, discussions, or understandings between you and Chouette on those matters.

These Terms are governed by the laws of the State of New York and applicable United States federal law, without regard to conflict of law principles. Except for disputes subject to arbitration under Section 15, any legal proceedings arising out of these Terms or the Platform will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to do so in the future. No waiver of any provision will be effective unless made in writing.

We may update these Terms at any time by posting the revised Terms on the Platform and updating the Effective Date above. Your continued use of the Platform after such changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform. 

The United Nations Convention on Contracts for the International Sale of Goods and any laws based on the Uniform Computer Information Transactions Act (UCITA) do not apply to these Terms. These Terms are drafted in, and will be interpreted in, the English language.
